By creating an account, purchasing a subscription, or using Clippiant, you agree to these Terms. Mandatory consumer rights that cannot legally be waived remain unaffected.

1. Agreement to These Terms

These Terms of Service form a binding agreement between you and Clippiant LLC. By accessing or using Clippiant, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you use Clippiant on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity. In that case, “you” includes both you and the entity.

If you do not agree to these Terms, you may not access or use the Service.

2. The Service

Clippiant provides tools for creating, editing, organizing, generating, processing, storing, exporting, and downloading video, images, audio, text, and related media.

Some features rely on automated systems and third-party providers, including AI models, media-generation services, hosting, authentication, databases, storage, payment processing, and content-delivery infrastructure.

Features, providers, generation quality, processing times, availability, supported formats, and usage limits may change over time.

3. Eligibility

You may use Clippiant only if:

  • You can legally enter into a binding agreement.
  • You meet the minimum legal age required in your jurisdiction.
  • You are not prohibited from using the Service under applicable law.
  • Your use complies with applicable sanctions, export controls, and trade restrictions.

Clippiant is not directed to children under 13. Users below the age of majority must have valid permission from a parent or legal guardian where required by law.

4. Accounts and Security

You agree to:

  • Provide accurate and current account information.
  • Maintain only accounts you are authorized to use.
  • Keep your password and authentication credentials secure.
  • Use reasonable measures to protect your account.
  • Notify us promptly if you suspect unauthorized access or misuse.

You are responsible for activity performed through your account unless applicable law provides otherwise.

You may not sell, rent, transfer, sublicense, or provide unauthorized access to your account.

5. Plans, Credits, and Usage Limits

Clippiant may offer free, trial, promotional, individual, team, or paid subscription plans.

Plans may include limits relating to:

  • Projects and saved media.
  • Video generation and exports.
  • Video length, quality, and resolution.
  • Storage capacity and file sizes.
  • AI generations, credits, or processing time.
  • Team members and account permissions.
  • Access to particular tools or providers.

Unless expressly stated otherwise, credits, usage allowances, and export limits:

  • May expire at the end of a billing period.
  • May not roll over.
  • Are non-transferable.
  • Have no cash value.
  • May be corrected or adjusted in cases of error, fraud, or abuse.

We may delay, reject, or limit requests that exceed plan limits, create excessive load, threaten platform stability, or appear abusive.

6. Billing and Automatic Renewal

Paid subscriptions are processed through Stripe or another authorized payment provider.

By purchasing a recurring subscription, you authorize the payment provider to charge your selected payment method at the displayed price, plus applicable taxes, at each billing interval until cancellation.

Before purchase, Clippiant will display material information about price, billing frequency, plan limits, and renewal terms.

You are responsible for keeping your billing information current and paying all valid charges associated with your account.

Failed, reversed, disputed, or fraudulent payments may result in restricted access, plan downgrade, suspension, or termination.

We may change prices prospectively. Where required, we will provide advance notice before a price increase applies to an existing subscription.

7. Cancellation and Refunds

7.1 Cancellation

You may cancel a recurring subscription through the billing or account-management tools made available by Clippiant.

Unless otherwise stated, cancellation takes effect at the end of the current paid billing period. You will generally retain access to paid features until that period ends.

7.2 Refunds

Except where required by law or expressly stated at the time of purchase, subscription payments are non-refundable once a billing period begins.

We may provide a refund or account credit at our discretion, but doing so does not create an obligation to provide similar relief in the future.

7.3 Digital-service rights

Nothing in these Terms limits cancellation, refund, withdrawal, or conformity rights that cannot legally be waived.

Where you request immediate access to digital services, statutory withdrawal rights may be affected only to the extent permitted by law and after any legally required consent or acknowledgment.

8. User Content

“User Content” means prompts, scripts, project files, uploads, images, audio, video, text, reference materials, instructions, feedback, and other materials you submit to Clippiant.

8.1 Ownership

As between you and Clippiant, you retain the rights you hold in your User Content.

8.2 License required to provide the Service

You grant Clippiant LLC a worldwide, non-exclusive, limited license to host, store, reproduce, transmit, process, format, modify, and display User Content as reasonably necessary to:

  • Provide requested features.
  • Create generated outputs.
  • Store and deliver projects and exports.
  • Maintain, secure, and troubleshoot the Service.
  • Enforce these Terms and comply with applicable law.

This license continues only for as long as reasonably necessary for those purposes, subject to backup, security, retention, and legal requirements.

8.3 Your responsibilities

You represent and warrant that:

  • You own your User Content or have all permissions needed to use it.
  • Your User Content and its use do not violate law or third-party rights.
  • You have obtained necessary permissions from identifiable people appearing in submitted media.
  • You will not submit regulated, confidential, or sensitive data without a lawful basis and suitable safeguards.

9. AI-Generated Content

“Generated Content” means video, images, audio, text, scripts, previews, and other media created through Clippiant or its providers in response to your instructions.

Subject to these Terms and applicable law, Clippiant does not claim ownership of Generated Content merely because it was created using the Service.

You acknowledge that:

  • Generated Content may not qualify for copyright or other intellectual-property protection.
  • Similar or identical outputs may be generated for other users.
  • Generated Content may contain errors, artifacts, omissions, or unexpected material.
  • Generated Content may unintentionally resemble existing people, media, brands, voices, styles, or works.
  • Clippiant does not guarantee that Generated Content is unique, accurate, lawful, non-infringing, or suitable for commercial use.

You are responsible for reviewing, editing, fact-checking, licensing, clearing, labeling, and lawfully using Generated Content.

You must not present AI-generated material as authentic evidence, documentary footage, or genuine human-created media where doing so would be deceptive, unlawful, or harmful.

10. Acceptable Use

You may not use Clippiant to create, upload, facilitate, promote, or distribute prohibited content or conduct.

10.1 Illegal and exploitative activity

  • Activity that violates applicable law.
  • Child sexual abuse material or sexual exploitation of minors.
  • Grooming, trafficking, coercion, or exploitation.
  • Non-consensual intimate imagery or sexualized deepfakes.
  • Content intended to facilitate serious physical harm.

10.2 Fraud, impersonation, and deception

  • Fraud, scams, phishing, or identity theft.
  • Unauthorized impersonation of a real person or organization.
  • Fabricated evidence intended to deceive courts, authorities, or the public.
  • Deceptive medical, financial, political, or emergency communications.
  • False endorsements or unauthorized use of a person’s likeness.

10.3 Violence and extremism

  • Terrorist or violent extremist propaganda or recruitment.
  • Credible threats, targeted violence, or instructions for violent wrongdoing.
  • Material intended to glorify or facilitate mass harm.

10.4 Cybersecurity abuse

  • Malware, ransomware, credential theft, or destructive code.
  • Unauthorized intrusion, surveillance, access, or account compromise.
  • Attempts to disrupt Clippiant or another service.
  • Unauthorized scraping or automated extraction.

10.5 Harassment and privacy violations

  • Stalking, doxxing, targeted harassment, or intimidation.
  • Unauthorized disclosure of private, personal, or confidential information.
  • Content intended to humiliate, exploit, or unlawfully target a private individual.

10.6 Intellectual-property violations

  • Copyright, trademark, publicity-right, or other infringement.
  • Unauthorized use of protected media, brands, voices, or likenesses.
  • Removal or circumvention of copyright or rights-management information.

10.7 Platform abuse

  • Bypassing billing, usage, generation, or export limits.
  • Sharing or reselling unauthorized account access.
  • Using bots or automation to overload, exploit, or degrade the Service.
  • Reverse engineering except where applicable law expressly permits it.
  • Testing vulnerabilities without prior written authorization.
  • Using unauthorized extraction to build or train a competing service.

11. Enforcement and Moderation

We may use automated systems and human review to detect abuse, protect users, investigate security incidents, and enforce these Terms.

Where reasonably necessary, we may:

  • Reject or block a generation request.
  • Remove, disable, or restrict content.
  • Limit account features or usage.
  • Suspend or terminate an account.
  • Preserve relevant records.
  • Report suspected illegal activity when required or permitted by law.
  • Cooperate with valid legal process.

We are not required to monitor every submission and do not guarantee that all prohibited content will be detected.

12. Clippiant Intellectual Property

The Service, including its software, interface, branding, logos, documentation, designs, features, compilations, and underlying technology, is owned by or licensed to Clippiant LLC.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purposes.

No right, title, or interest is granted except as expressly stated in these Terms.

13. Feedback

If you provide ideas, suggestions, bug reports, feature requests, or other feedback, you grant us permission to use that feedback without restriction or compensation.

We will not publicly identify you as the source of feedback without permission.

14. Third-Party Services

Clippiant depends on third-party providers for services such as:

  • Payment processing.
  • Authentication and account management.
  • Databases and storage.
  • Cloud hosting and content delivery.
  • AI text, image, audio, and video generation.
  • Analytics, monitoring, and fraud prevention.

Third-party services may be governed by separate terms and privacy policies.

We are not responsible for third-party services beyond obligations imposed on us by applicable law.

15. Availability and Changes

We may modify, update, restrict, suspend, discontinue, or replace features of the Service.

We may also perform maintenance or respond to outages, provider failures, security threats, legal requirements, capacity limits, or infrastructure issues.

Generation times and results are not guaranteed. Jobs may fail, time out, be delayed, or require regeneration.

Where appropriate, we will make reasonable efforts to provide notice of material changes, but emergency changes may occur without advance notice.

16. Suspension and Termination

You may stop using Clippiant at any time.

We may suspend, restrict, or terminate access where reasonably necessary, including for:

  • Violation of these Terms.
  • Fraud, abuse, or unlawful activity.
  • Nonpayment or payment-dispute abuse.
  • Security or infrastructure risk.
  • Repeated intellectual-property infringement.
  • Legal or regulatory requirements.
  • Conduct that materially harms Clippiant, users, providers, or third parties.

Where appropriate and legally required, we may provide notice or an opportunity to appeal.

When an account is terminated, your right to use the Service ends. Certain provisions, including payment obligations, ownership, disclaimers, liability limits, indemnification, and dispute terms, survive termination.

17. Disclaimers

To the maximum extent permitted by law, Clippiant is provided “as is” and “as available.”

We do not guarantee that:

  • The Service will always be available or uninterrupted.
  • The Service will be error-free or completely secure.
  • Every generation or export will succeed.
  • Generated Content will be accurate, unique, lawful, or suitable for your intended purpose.
  • Files will never be lost, delayed, or corrupted.
  • The Service will satisfy every technical, creative, legal, or commercial requirement.

You are responsible for maintaining independent copies of important source files and final exports.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by law, Clippiant LLC, its owners, officers, employees, contractors, affiliates, and service providers will not be liable for:

  • Indirect, incidental, special, or consequential damages.
  • Punitive or exemplary damages.
  • Lost profits, revenue, goodwill, opportunities, or data.
  • Business interruption.
  • Claims arising from Generated Content or third-party services.

To the maximum extent permitted by law, our total aggregate liability arising from or relating to the Service will not exceed the greater of:

  • The amount you paid to Clippiant during the six months before the event giving rise to the claim; or
  • One hundred United States dollars.

These limitations do not apply to liability that cannot legally be limited, including liability for fraud, willful misconduct, or death or personal injury caused by negligence where applicable.

19. Indemnification

To the extent permitted by law, if you use Clippiant for business or commercial purposes, you agree to defend, indemnify, and hold harmless Clippiant LLC and its owners, officers, employees, contractors, and affiliates from third-party claims, losses, liabilities, damages, and reasonable expenses arising from:

  • Your User Content.
  • Your Generated Content or use of it.
  • Your violation of these Terms.
  • Your violation of law or third-party rights.
  • Your misuse of the Service.

This section does not apply to consumers where prohibited by mandatory consumer law.

20. Consumer Rights

Nothing in these Terms limits or excludes consumer rights that cannot legally be waived.

If you reside in the European Economic Area, United Kingdom, Switzerland, or another jurisdiction with mandatory consumer protections, you retain those protections.

Any disclaimer, limitation, refund restriction, venue provision, governing-law clause, or indemnity applies only to the extent permitted by the law that applies to you.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules.

Subject to mandatory consumer rights, disputes relating to these Terms or the Service will be brought in a court of competent jurisdiction located in Maricopa County, Arizona.

If you are a consumer, this section does not prevent you from relying on mandatory protections or bringing a claim in another forum where applicable law gives you that right.

Before filing a claim, you and Clippiant are encouraged to contact one another and attempt to resolve the dispute informally.

22. General Terms

22.1 Entire agreement

These Terms, our Privacy Policy, and any additional terms presented for a specific feature form the agreement between you and Clippiant.

22.2 Severability

If any provision is found invalid or unenforceable, it will be enforced to the maximum lawful extent, and the remaining provisions will remain effective.

22.3 No waiver

A failure to enforce a provision does not waive the right to enforce it later.

22.4 Assignment

You may not assign these Terms without our written permission. Clippiant may assign them in connection with a merger, acquisition, restructuring, financing, or sale of assets.

22.5 Electronic communications

You agree that notices, disclosures, and records may be provided electronically where permitted by law.

22.6 Headings

Headings are included for convenience and do not control the interpretation of these Terms.

23. Changes to These Terms

We may update these Terms to reflect changes in law, technology, providers, features, pricing, security, or business practices.

We will post the updated version and revise the effective date. Where required, we will provide additional notice before material changes take effect.

Continued use of Clippiant after revised Terms become effective constitutes acceptance only to the extent permitted by applicable law.
